The provision of voice, video and broadband services (“Services”) by Knology, Inc. or any of its subsidiaries (“Knology”), are governed by the following terms and conditions. Additional terms and conditions may also be found in relevant tariffs and in the Acceptable Use Policy (“AUP”) found at www.Knology.com. Use of Knology voice, video and broadband services demonstrates your acceptance of these terms and conditions, the provisions of applicable tariffs, and the AUP.

1. Access to Right-of-Way. You will allow Knology to enter upon, under and over the premises at your service address at any time for purposes of connecting the Services and for inspecting, adjusting, repairing, moving or removing equipment or other facilities.

2. Payment of Bills. Knology will submit monthly bills to you and you agree to pay all charges due at the address shown on the bill no later than 20 days after the invoice date ("Due Date"). Any amounts not paid by the Due Date ("Delinquent Charges") will be subject to a late charge of 1.5% ($5.00 minimum) per month, unless otherwise prohibited by law. You agree that all billing disputes must be brought to the attention of Knology within 60 days of the invoice date.  60 days after the invoice date you waive all billing disputes. You will pay applicable surcharges and taxes that Knology collects because of the Service provided to you. You agree to pay all costs, including reasonable attorney's fees, expended in collecting Delinquent Charges.

When payment on a residential account is made by check, Knology processes those checks by converting them to an Automated Clearing House ("ACH") type transaction. This simply means that the check is processed electronically. Customers grant Knology permission to process the payment electronically by sending in a payment by check. Customers do have the option of advising Knology that they do not wish their checks to be processed ACH by calling Knology Customer Service and opting out or by sending the written opt out request to Knology Customer Service via US Mail.

If a deposit is received by Knology and service is cancelled prior to installation, we will follow standard refund procedures/time lines.

3. Rate Guaranty. If you accept the Knology Rate Guaranty, we promise that for a period of 12 months from the date of this Rate Guaranty, we will not increase your rates for your service packages or individual core service (local phone service, basic and digital cable television service, and/or Internet service). In exchange for this promise, we ask that you notify us of any competing offer for your service and if that offer has terms or conditions better than those you have with us, you allow us 5 business days to match or beat that offer and retain your service. The competitive offer must be in writing from the competing company in order to be valid. At the end of the 12-month period, the service(s) will continue at the rates existing at that time. These current rates may differ from the rate that was guarantied under the rate guaranty.

4. Limitation of Liability. Knology shall not be liable for any incidental, indirect, punitive, special or consequential damages of any kind including, but not limited to, any loss of use, loss of business, or loss of profit, and regardless of the form of the action, whether in contract, warranty, strict liability or tort, including without limitation, negligence of any kind, and regardless whether a Party was advised, had reason to know, or in fact knew of the possibility of liability. Knology shall not be liable for the acts, omissions or delays imposed by third party vendors. Unless otherwise provided for in this Agreement, any Knology liability to a customer for any damages of any kind under the AUP shall be limited to an out-of-service credit determined by a pro-rated amount equal to the charges due for each twenty-four (24) hour period service has not been satisfactorily provided.

5. Warranties. KNOLOGY MAKES NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, FOR THE SERVICES IT IS PROVIDING. KNOLOGY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. KNOLOGY WILL NOT BE RESPONSIBLE FOR ANY DAMAGE SUFFERED BY THE CUSTOMER, INCLUDING LOSS OF DATA RESULTING FROM DELAYS, FAILURE TO DELIVER, MISTAKEN DELIVERIES OR SERVICE INTERRUPTIONS. THE USE OF ANY INFORMATION OBTAINED THROUGH THE INTERNET SERVICES IS AT YOUR OWN RISK. KNOLOGY MAKES NO WARRANTY AS TO THE CONTENT OR ACCURACY OF THE INFORMATION.
